1. Definitions
ConceptNinjas
Refers to Marching Ants Technologies Private Limited, incorporated under the Companies Act, 1956, with its registered office at Viman Nagar, Pune, India.
Customer / You
Any individual or legal entity signing up for services provided by ConceptNinjas, including free services.
Subscription Services
Web and mobile-based marketing and sales applications, tools, and platforms accessible via conceptninjas.com.
Consulting Services
Professional services such as training, installation, integration, or advisory services provided under an Order Form.
2. Scope of Services
Subscription Services
During the Subscription Term, we provide access to our platform as described in your Order Form. Services are available 24/7, except during planned downtime or force majeure events.
Consulting Services
Consulting services will be delivered as agreed in the relevant Order Form and typically performed remotely.
Third-Party Providers
We may use third-party service providers to deliver services. However, we are not responsible for third-party tools procured directly by you.
3. Use of Subscription Services
Acceptable Use
- No unauthorized access attempts.
- No reverse engineering or derivative works.
- No storing or transmitting unlawful material.
- No misuse that damages platform performance.
Service Usage Limitations
Usage may be limited based on user count, contacts, email sends, landing pages, and other limits specified in your Order Form.
4. Fees and Payment
Subscription Fees are payable in advance and are non-refundable unless otherwise stated in your Order Form.
Additional fees may apply in case of overuse or upgrades during the subscription term.
5. Ownership and Intellectual Property
ConceptNinjas owns all intellectual property rights related to the platform and services. You retain ownership of your Customer Data.
6. Confidentiality
Both parties agree to protect confidential information and use it solely for purposes outlined in these Terms.
7. Term, Renewal & Termination
Subscription terms renew automatically unless cancelled prior to renewal. Accounts may be suspended for violations or non-payment.
8. Disclaimers & Limitation of Liability
Services are provided “as is” without warranties of any kind. Our liability is limited to the amount paid in the preceding six months or USD 5000, whichever is lower.
9. Governing Law
These Terms are governed by the laws of India. Disputes shall be resolved through arbitration under the Arbitration and Conciliation Act, 1996.
